Official Rules

NO PURCHASE NECESSARY. A PURCHASE OR PAYMENT OF ANY KIND WILL NOT INCREASE YOUR CHANCES OF WINNING.

1. Eligibility: Sharp Winning Line-Up Sweepstakes (the "Promotion") is open only to legal residents of the forty-eight (48) contiguous United States (and the District of Columbia) who are eighteen (18) years old and older at the time of entry. Void in Alaska, Hawaii, and where prohibited. Employees of Sharp Electronics Corporation, Relay, Inc., ePrize, LLC, the MLB Entities (defined below) and each of their respective related companies, as well as the immediate family (biological, step- or in-law) including parents, grandparents, siblings, spouses and children of any of the foregoing (regardless of where they live) and household members of each such employee are not eligible. The “MLB Entities” shall mean the Office of the Commissioner of Baseball, its Bureaus, Committees, Subcommittees and Councils, MLB Advanced Media, L.P., Major League Baseball Enterprises, Inc., Major League Baseball Properties, Inc., the Major League Baseball Clubs, Tickets.com, Inc., SportsOnEarth, LLC and each of their subsidiaries or affiliated entities, any entity which, now or in the future, controls, is controlled by, or is under common control with the Major League Baseball Clubs or the Office of the Commissioner of Baseball, and the directors, officers, employees and agents of the above entities. Promotion is subject to all applicable federal, state, local laws and regulations. The Promotion consists of a Sharp Winning Line-Up Game (the “Scrambled Image Game”) and a sweepstakes (the “Sweepstakes”).

2. Sponsor: Sharp Electronics Corporation, Sharp Plaza, Mahwah, New Jersey 07495-1163. Administrator: ePrize, LLC, One ePrize Drive, Pleasant Ridge, MI 48069.

3. Agreement to Official Rules: By participating in the Promotion, each entrant fully and unconditionally agrees to and accepts these Official Rules and the decisions of Sponsor, which are final and binding in all matters related to the Promotion.

4. Timing: The Promotion will begin July 11, 2008 at 12:00 a.m. Eastern Time ("ET"), and end September 20, 2008 at 11:59 p.m. ET (the "Promotion Period"). For purposes of this Promotion a week is defined as starting on a Friday and ending the following Thursday, except the last week of the Promotion which will start on Friday, September 12 and end on Saturday, September 20 (each a "Weekly Sweepstakes"). Administrator’s computer is the official time keeping device for this Promotion.

5. How to Enter the Promotion:

a. Sweepstakes: During the Promotion Period, visit http://www.SharpMLB.com and follow the links and instructions to complete the registration. By completing and submitting the online entry form as directed, you automatically will receive one (1) entry into the Sweepstakes. You must include a valid home address. P.O. Boxes are not permitted. Upon submission of the online entry form, you will automatically advance to a game page and be presented with a photo shuffle game. After you play the game you will receive one (1) additional entry into the applicable Weekly Sweepstakes. The results of the game will not affect your chances of winning.

b. Scrambled Image Game: After you play the photo shuffle game you automatically will be taken to your Scrambled Image Game online game piece (the “Game Piece”). Your Game Piece must be printed before exiting the Scrambled Image Game for proof of eligibility. You can bring the printed Game Piece to a participating retail store during store hours before September 20, 2008 to find out if you’ve won. All potential winners of a Scrambled Image Game prize will be notified by email approximately 4 (four) days after his/her winning game play. Administrator is responsible for the functionality of the Scrambled Image Game. Possession of the Game Piece itself is not determinative of a potential win; it is the random, computer-generated winning time that indicates a potential winner.

Limit: Each participant may enter the Sweepstakes up to one (1) per day and receive up to one (1) entry per day into the applicable Weekly Sweepstakes during the Promotion Period, and play the Scrambled Image Game one (1) time per day during the Promotion Period. Multiple participants are not permitted to share the same email address. Any attempt by any participant to obtain more than the stated number of plays/entries by using multiple/different email addresses, identities, registrations and logins, or any other methods will void that participant's plays/entries and that participant may be disqualified. Sponsor and the MLB Entities are not responsible for lost, late, incomplete, invalid, unintelligible or misdirected plays/entries, which will be disqualified. All plays/entries must be received during the Promotion Period. Use of any automated system to submit entries is prohibited and will result in disqualification. In the event of a dispute as to any online entry, the authorized account holder of the email address used to enter will be deemed to be the entrant. The "authorized account holder" is the natural person assigned an email address by an Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the submitted address. Potential winners may be required to show proof of being the authorized account holder.

Tell A Friend Program: After you enter the Promotion, you will be invited to submit the names and email addresses of up to five (5) friends who must be eligible to enter the Promotion. Each person that you refer will receive an email notifying them about the Promotion. You may only refer persons with whom you have an existing relationship. For each completed referral of up to five (5) friends with valid email addresses, who subsequently register for this Promotion, you will be given one (1) point (a "Point"). You can refer up to five (5) friends per day throughout the Promotion Period. At the end of the Promotion Period, the top three (3) entrants with the most Points will receive one (1) of the Tell A Friend Leader Board prizes listed below. In the event of a tie between the number of Points received, a random drawing will be held amongst the entrants who received the highest number of Points through the Tell A Friend Program.

6. ALL POTENTIAL WINNERS ARE SUBJECT TO VERIFICATION BY SPONSOR OR ADMINISTRATOR, WHOSE DECISIONS ARE FINAL. AN ENTRANT IS NOT A WINNER OF ANY PRIZE, EVEN IF THE PROMOTION SHOULD SO INDICATE, UNLESS AND UNTIL ENTRANT’S ELIGIBILITY AND THE POTENTIAL WINNING PLAY/ENTRY HAS BEEN VERIFIED AND ENTRANT HAS BEEN NOTIFIED THAT VERIFICATION IS COMPLETE. SPONSOR WILL NOT ACCEPT SCREEN SHOTS OR OTHER EVIDENCE OF WINNING IN LIEU OF ITS VALIDATION PROCESS. ANY PLAY THAT OCCURS AFTER THE SYSTEM HAS FAILED FOR ANY REASON IS DEEMED A DEFECTIVE PLAY AND IS VOID AND WILL NOT BE HONORED.

7. Sweepstakes/Scrambled Image Game: Administrator is an independent judging organization whose decisions as to the administration and operation of the Promotion and the selection of potential winners are final and binding. Sweepstakes Drawing: Administrator will randomly select the potential Sweepstakes winners from all eligible Sweepstakes entries received during each applicable Weekly Sweepstakes (if for a Second Prize) or from all eligible entries received during the entire Promotion Period (if for a Grand or First Prize) on or around September 23, 2008. Scrambled Image Game: One Thousand Sixty-One (1,061) random, computer-generated winning times, one (1) for each of the Scrambled Image Game prizes listed below, will be generated during the Promotion Period. If you are the first player to play the Scrambled Image Game at or after any one (1) of the randomly generated times you will be a potential instant winner of the prize indicated.

8. Verification of Potential Winners: All selected winners must comply with all terms and conditions of these Official Rules, and winning is contingent upon fulfilling all requirements. The potential Sweepstakes winners will be notified by mail, email or phone after the date of the random drawing. Except where prohibited, each winner of a Prize (except the Fifth Prize) must sign (or have his/her parent/legal guardian sign if winner is a minor in his/her state of residence) and return, within ten (10) days of the date notice or attempted notice is sent, an Affidavit of Eligibility, Liability and Publicity Release in order to claim his/her prize. If any prize winner cannot be contacted, or fails to sign and return the Affidavit of Eligibility, Liability and Publicity Release within the required time period (if applicable), potential winner forfeits prize. In the event that a potential winner of a Prize (except the Fifth Prize) is disqualified for any reason, an alternate winner will be selected in a random drawing from among all remaining eligible entries during each applicable Weekly Sweepstakes (if for a Second Prize) or from all eligible entries received during the entire Promotion Period (if for a Grand, First, Third, Fourth, Sixth, Seventh, or Eighth Prize). Only three (3) alternate drawings will be held after which the applicable prize will remain unawarded. Unclaimed Fifth Prizes will not be awarded. All Prizes (except the Third Prize) will be fulfilled 8-10 weeks after the conclusion on the Promotion.

9. Prizes:

a. Sweepstakes Prizes: TWELVE (12) GRAND PRIZES: A Sharp AQUOS HDTV that could be delivered by one (1) of the twelve (12) Sharp Sponsored players. TV will be delivered before player visit. Player visit will be at a time and date determined by the Sponsor in its sole discretion and is subject to the player’s availability. Specific player will be determined based on the winner's location and player’s home team market which market is determined by and which decision is solely within the discretion of MLB. In the event that the winner is not from a home team market in which one (1) of the Players involved in the Promotion resides, the winner will receive the Sharp AQUOS HDTV only. In the event that the winner is in the New York home team market, Sponsor will determine the specific player in its sole discretion. If there is more than one (1) winner in the same market only one (1) player visit will be awarded based on timing and availability and by the Sponsor in its sole discretion. All other winners will receive the Sharp AQUOS HDTV only. Approximate Retail Value ("ARV"): $6,000. SEVEN (7) SECOND PRIZES: LC-52D64U Sharp AQUOS HDTV. ARV: $2,500. TEN (10) WEEKLY PRIZES: Sharp LC-32GP3U-B 32" AQUOS gaming TV. ARV: $1,499. Odds of winning a Sweepstakes Prize depend on the number of eligible entries received during the Promotion Period.

b. Scrambled Image Game Prizes: ONE (1) THIRD PRIZE: A Trip for two (2) to Game 4 of the 2008 MLB ® World Series® championship and an LC-65D64U Sharp AQUOS HDTV. Trip package includes roundtrip, coach-class air transportation for two (2) from a major airport near winner’s home (determined by Sponsor in its sole discretion) to the location of the World Series® game 4; three (3) days and two (2) nights accommodations at a hotel determined by Sponsor in its sole discretion (single room, double occupancy); ground transportation to and from airport and hotel and to and from the game; two (2) tickets to game 4 of the World Series®; on field access for winner and guest during designated time determined by Sponsor in its sole discretion; and $500 spending money. Winner must complete the trip on dates specified by Sponsor or prize will be forfeited. Trip must be booked at least twenty-one (21) days prior to departure. Trip subject to availability and blackout dates. Travel must be roundtrip. Sponsor will determine airline and flight itinerary in its sole discretion. No refund or compensation will be made in the event of the cancellation or delay of any flight. Travel and accommodations are subject to availability. Travel is subject to the terms and conditions set forth in this Promotion, and those set forth by the Sponsor’s airline carrier of choice as detailed in the passenger ticket contract. All expenses and incidental travel costs not expressly stated in the package description above, including but not limited to, ground transportation, meals, incidentals, passenger tariffs or duties, surcharges, airport fees, service charges or facility charges, personal charges at lodging, security fees, taxes or other expenses are the responsibility solely of winner. Unless child of winner, travel companion must be eighteen (18) years of age or older as of the date of departure and must travel on same itinerary and at the same time as the winner. If winner is a minor in his/her state of residence, travel companion must be winner’s parent/legal guardian. Travel companion must execute liability/publicity releases prior to issuance of travel documents. Travel restrictions, conditions and limitations may apply. If in the judgment of Sponsor air travel is not required due to winner’s proximity to prize location, ground transportation will be substituted for roundtrip air travel at Sponsor’s sole discretion. Sponsor and the MLB Entities will not replace any lost, mutilated, or stolen tickets, travel vouchers or certificates. Major League Baseball game, event and exhibition dates and times are determined in the sole discretion of the Office of the Commissioner of Baseball and/or the applicable Major League Baseball Club, as applicable, and may be subject to change. Winner and his/her guest(s) agree to comply with all applicable stadium regulations in connection with the Prize. Sponsor and the applicable MLB Entities reserve the right to remove or to deny entry to winner and/or his/her guest(s) who engage(s) in a non-sportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person at the game, event or exhibition. Sponsor and the MLB Entities are not responsible if the game is delayed, postponed or cancelled for any reason, in which event that portion of prize is forfeited in its entirety and no substitution will be provided except as in Sponsor’s sole discretion. ARV: $11,000. Actual value may vary based on airfare fluctuations and distance between departure and destination. Winner will not receive difference between actual and approximate retail value. SIXTY (60) FOURTH PRIZES: LC-46D64U Sharp AQUOS HDTV. ARV of each Fourth Prize: $1,600. ONE THOUSAND (1,000) FIFTH PRIZES: $25 MLB.com gift certificate. ARV of each Fifth Prize: $25. MLB.com gift certificate may be subject to certain terms and conditions – see www.mlbshop.com for details. Winner must comply with all terms and conditions of gift certificate. Odds of winning a Scrambled Image Game Prize depend on the number of Scrambled Image Game Prizes divided by the number of eligible Scrambled Image Game plays received during the Scrambled Image Game Period. Limit: One (1) Scrambled Image Game Prize per person.

c. Tell A Friend Leader Board Prizes: ONE (1) SIXTH PRIZE: LC-46D64U Sharp AQUOS HDTV. ARV: $1,600. ONE (1) SEVENTH PRIZE: LC-37D64U Sharp AQUOS HDTV. ARV: $1,299. ONE (1) EIGHTH PRIZE: LC-32GP3U-B Sharp AQUOS HDTV. ARV: $1,099. Odds of winning a Tell A Friend Leader Board Prize depend on the number of Points each entrant received during the Promotion Period and number of eligible entrants. Limit: One (1) Tell A Friend Leader Board Prize per person.

For all prizes: The ARV of electronic prizes is subject to price fluctuations in the consumer marketplace based on, among other things, any gap in time between the date the ARV is estimated for purposes of these Official Rules and the date the prize is awarded or redeemed. Winners are solely responsible for all federal, state, and local taxes (including income taxes) and other fees associated with prize receipt and use. No other substitution, assignment or transfer of prizes permitted, except by Sponsor, who reserves the right to substitute a prize with another prize of greater or equal value. Sponsor and the applicable MLB Entities reserve the right to remove or deny entry to winner and/or guest who engages in a non-sportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person at any Major League Baseball game, event or exhibition. The total ARV of all prizes: $240,488.

10. Publicity: Except where prohibited, participation in the Promotion constitutes winner's consent to Sponsor's and each of the MLB Entities’ use of winner's name, likeness, voice, opinions, biographical information, hometown and state for promotional purposes in any media now known or hereafter devised, throughout the world, in perpetuity, without further payment or consideration, permission or notification

11. General Conditions: Sponsor reserves the right to cancel or modify the Promotion if fraud, technical failures or any other factor beyond Sponsor's reasonable control impairs the integrity of the Promotion, as determined by Sponsor in its sole discretion. In such event, Sponsor reserves the right to award the prizes at random from among the eligible entries received up to the time of the impairment. Sponsor reserves the right, in its sole discretion, to disqualify any individual it finds to be tampering with the entry process or the operation of the Promotion or to be acting in violation of these Official Rules or any other promotion, or in an unsportsmanlike or disruptive manner. Any attempt by any person to deliberately damage any web site or undermine the legitimate operation of the Promotion is a violation of criminal and civil law, and, should such an attempt be made, Sponsor and the applicable MLB Entities reserve the right to seek damages and costs (including without limitation attorneys' fees) from any such person to the fullest extent permitted by law. Sponsor's failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

12. Release: By receipt of any prize, winner agrees to release and hold harmless, Sharp Electronics Corporation, Relay, Inc., the MLB Entities, MLB players and Major League Baseball Players Association, ePrize, LLC, and each of their related parents, subsidiaries, affiliated and related companies, each of their respective officers, directors, members, employees, and agents, (collectively, “Released Parties”) from and against any claim or cause of action arising out of participation or attempt to participate in the Promotion or from the receipt or use or misuse of any prize or any travel or activity related to the receipt or use of any prize.

13. Limitations of Liability: Released Parties are not responsible for and entrants release and hold the Released Parties harmless for: (i) technical failures of any kind, including but not limited to the malfunctioning of any computer, cable, network, hardware or software; (ii) the unavailability or inaccessibility of any transmissions or telephone or Internet service; (iii) unauthorized human intervention in any part of the entry process or the Promotion; (iv) electronic or human error which may occur in the administration of the Promotion or the processing of entries; or (v) any injury or damage to persons or property, including but not limited to entrant's computer, hardware or software, which injury or damage may be caused, directly or indirectly, in whole or in part, from entrant's participation in the Promotion. If for any reason an entrant's entry is confirmed to have been erroneously deleted, lost, or otherwise destroyed or corrupted, entrant’s sole remedy is another entry in the Sweepstakes or Scrambled Image Game play, provided that if it is not possible to award another entry/play due to discontinuance of the Promotion, or any part of it, for any reason, Sponsor, in its sole discretion, may elect to hold a random drawing from among all eligible entries received up to the date of discontinuance for any or all of the prizes offered herein. No more than the stated number of prizes will be awarded. In the event that production, technical, seeding, programming or any other reasons cause more than the stated number of prizes as set forth in these Official Rules to be available and/or claimed, Sponsor reserves the right to award only the stated number of prizes by a random drawing among all legitimate, unawarded, eligible prize claims.

14. Disputes: Entrant agrees that: (i) any and all disputes, claims and causes of action arising out of or connected with this Promotion, or any prizes awarded, shall be resolved individually, without resort to any form of class action, and exclusively by the United States District Court for the Eastern District of Michigan (Southern Division) or the appropriate Michigan State Court located in Oakland County, Michigan; (ii) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Promotion, but in no event attorneys' fees; and (iii) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant and Sponsor in connection with the Promotion, shall be governed by, and construed in accordance with, the laws of the State of Michigan, without giving effect to any choice of law or conflict of law rules (whether of the State of Michigan or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Michigan.

15. Entrant's Personal Information: Information collected from entrants is subject to the Sponsor’s Privacy Policy (http://www.sharpusa.com/global/Privacy/0,1804,00.html), the ePrize Privacy Policy (http://www.eprize.com/privacy/privacypolicy.html) and the MLB.com Privacy Policy (http://www.mlb.com/privacy), as applicable.

16. Winner List: Winner List requests will only be accepted after the promotion end date (listed above) and no later than February 2, 2009. For the Winner List, send an email with subject line: "M- Sharp Winning Line-Up Sweepstakes, Winner List Request,” to WinListRequests@eprizefulfillment.com.
